1. Acceptance of Terms

By accessing or using the NS Ads Collab Platform ("Platform") at app.nsads.in, operated by NILE SPECTRA™ ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised terms.

2. Platform Description

NS Ads is an influencer marketing collaboration platform that connects Brands, Influencers, and Ad Channels across India. The Platform facilitates collaboration deals including Barter, PR Kit, Paid, and Ad Poster arrangements.

3. User Accounts & Roles

You must register for an account to use the Platform. You agree to:

Provide accurate, complete, and current registration information
Maintain the security of your password and account
Notify us immediately of any unauthorized account access
Be responsible for all activity that occurs under your account

Accounts are assigned one of three roles: Brand, Influencer, or Ad Channel. Misrepresentation of your role may result in immediate account termination.

Users must be at least 18 years of age or have the legal capacity to enter into contracts under applicable Indian law.

4. NS Credit Economy

NS Ads uses a virtual currency called NS Credits (NSC) to facilitate platform activity:

New registrations receive 100 NSC as a welcome bonus
Daily logins earn 10 NSC
NS Credits can be purchased via UPI payment on the Platform
All collaboration deals attract a 15% flat platform commission deducted automatically upon deal completion
Commission applies to Barter, PR Kit, Paid, and Ad Poster deal types

Important: NS Credits have no monetary value and cannot be redeemed for cash, transferred to third parties, or exchanged outside the Platform under any circumstances. All NS Credit purchases are final and non-refundable.

5. Deals & Collaborations

The Platform enables deal creation and management between users. By participating in a deal, you agree to:

Fulfil your obligations honestly and on time as described in the deal
Submit genuine proof of work for approval
Not engage in fraudulent submissions or misrepresent deliverables
Accept that NS Ads acts only as a facilitator and is not a party to any collaboration agreement

The Company reserves the right to intervene in, pause, or cancel any deal found to violate these Terms.

6. Prohibited Conduct

You agree not to:

Create fake accounts, impersonate others, or submit false information
Attempt to manipulate the NS Credit system or exploit platform bugs
Post spam, misleading content, or conduct off-platform solicitation
Reverse engineer, scrape, or copy any part of the Platform
Use the Platform for any unlawful purpose under Indian law
Harass, abuse, or threaten other users

Violations may result in immediate account suspension or termination without notice or refund.

7. Intellectual Property

All content, design, logos, and software on the Platform are the intellectual property of NILE SPECTRA™. You may not reproduce, distribute, or create derivative works without explicit written permission.

You retain ownership of content you submit to the Platform but grant us a non-exclusive, royalty-free licence to display it for Platform operations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NILE SPECTRA™ shall not be liable for:

Any indirect, incidental, or consequential damages arising from Platform use
Loss of profits, data, or business opportunities
Disputes between Brands, Influencers, or Ad Channels
Third-party actions or content

The Platform is provided "as is" without warranties of any kind, express or implied.

9. Termination

We may suspend or terminate your account at our sole discretion, with or without notice, for any violation of these Terms. You may also delete your account at any time by contacting us. Upon termination, any unused NS Credits are forfeited.

10. Referral & Coupon System

NS Ads operates a referral and coupon reward system to incentivise platform growth:

Every registered user receives a unique referral code upon account creation
New users who sign up using a referral code will receive 200 NSC as a referral bonus upon account approval
The referring user earns 100 NSC when their referred user's account is approved
Referral NSC is credited only after the new account is approved by NS Ads — not at registration
Each user may redeem only one referral code per account, within 30 days of registration
Users cannot redeem their own referral code
Admin-created coupon codes may offer additional NSC or cash rewards and are subject to expiry dates and usage limits set by NS Ads
NS Ads reserves the right to revoke referral rewards in case of fraudulent activity or fake account creation

11. Escrow System

For deals requiring cash payments, NS Ads operates a secure escrow system:

Brands must deposit escrow payment before work begins on a deal
Escrow funds are held by NS Ads until the brand approves submitted proof of work
NS Credits (NSC) are automatically escrowed from the brand's wallet upon deal acceptance
Escrow is released to the influencer/ad channel only after proof approval
In case of dispute, NS Ads team reviews and makes a final decision

12. Member ID

Every registered user on NS Ads is assigned a unique Member ID (e.g. NSX5K787) upon account creation. This ID is used for platform identification, support queries, and account verification purposes.

These Terms of Service are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in India.
